These Terms of Service ("Terms") govern your access to and use of the websites, software products, applications and services (collectively, the "Services") provided by Jodhanasoft Digital Solutions Private Limited ("JDS Connect", "we", "us" or "our"). By accessing, purchasing or using our Services you agree to be bound by these Terms.

1. Our Services

JDS Connect develops and licenses business software including, among others, HR Management, Billing, Invoicing, Nidhi, Credit Cooperative, Section 8 Company, NBFC & Microfinance, eMitra Management, Payroll, Email Marketing and WhatsApp Marketing software, delivered on a subscription or licensed basis.

2. Accounts & Eligibility

• You must provide accurate, complete information and keep your account credentials confidential.
• You are responsible for all activity that occurs under your account.
• You must be authorised to bind the business or entity you represent.

3. Subscriptions, Fees & Payment

• Access to paid Services requires a valid subscription or licence fee, billed as per the plan you select.
• Fees are exclusive of applicable taxes (e.g. GST) unless stated otherwise.
• Unless required by law, fees once paid are non-refundable. Non-payment may lead to suspension or termination of access.

4. Licence & Acceptable Use

We grant you a limited, non-exclusive, non-transferable right to use the Services for your internal business purposes. You agree not to:

• copy, resell, sub-licence, reverse-engineer or attempt to extract the source code of the Services;
• use the Services for unlawful, fraudulent or abusive purposes;
• upload malware or attempt to disrupt or gain unauthorised access to our systems.

5. Customer Data

You retain ownership of the data you enter into the Services. You grant us the right to process such data only to provide, maintain, secure and support the Services. Our handling of personal data is described in our Privacy Policy.

6. Intellectual Property

All software, designs, logos, trademarks and content of the Services are owned by JDS Connect or its licensors and are protected by applicable laws. No rights are granted except as expressly set out in these Terms.

7. Third-Party Services

The Services may integrate with third-party providers (e.g. payment gateways, SMS / WhatsApp / email providers). Your use of such providers is subject to their own terms; we are not responsible for third-party services.

8. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose and uninterrupted or error-free operation.

9. Limitation of Liability

To the maximum extent permitted by law, JDS Connect shall not be liable for any indirect, incidental or consequential damages, or loss of data, profits or business. Our total liability for any claim shall not exceed the fees paid by you for the Services in the three (3) months preceding the claim.

10. Suspension & Termination

We may suspend or terminate access for breach of these Terms, non-payment, or to protect the Services. You may stop using the Services at any time; applicable fees remain payable.

11. Changes to Terms

We may update these Terms from time to time. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of India. Courts at Jodhpur, Rajasthan shall have exclusive jurisdiction over any disputes, subject to applicable law.
